Terms of Service

These Terms of Service ("Terms") govern your access to and use of the software subscription services offered by ItReserve d.o.o. ("ItReserve", "we", "us", "our") through the website itreserve.org and associated sub-domains. By placing an order, activating a module, or otherwise accessing the ItReserve platform, you ("Customer") agree to be bound by these Terms in their entirety. If you are entering into these Terms on behalf of a legal entity, you represent and warrant that you have the authority to bind that entity.
Please read these Terms carefully before subscribing. If you do not agree, do not purchase or use the services.
1. Definitions
The following definitions apply throughout these Terms:
- ItReserve — ItReserve d.o.o., a company incorporated in Montenegro under registration number CRPS 4-0089267/X, with Tax Identification Number (PIB) 64928153, having its registered office at ul. Vuka Karadžića 3, 81000 Podgorica, Crna Gora (Montenegro).
- Customer — any natural person or legal entity that registers an account on itreserve.org and purchases or activates one or more Modules.
- Module — a self-contained software extension developed by ItReserve that connects to the Reservit property-management system via the Reservit API and delivers a specific operational function, including but not limited to channel management, revenue optimisation, invoicing, analytics, housekeeping coordination, guest communications, and related capabilities as listed in the Module catalogue.
- Subscription — a recurring monthly or annual licence granting the Customer the right to use one or more Modules for the duration of the billing period, subject to continuous payment.
- Reservit API — the published application programming interface maintained by Reservit SAS that exposes property-management data to authorised third-party connectors, including ItReserve.
- Dashboard — the web-based customer portal accessible at itreserve.org/dashboard, through which Customers manage their Subscriptions, provide API credentials, view usage statistics, and access support resources.
- API Key — the credential string issued by Reservit to the Customer that authorises ItReserve to connect to the Customer's Reservit account on their behalf.
- Effective Date — the date on which the Customer's payment is confirmed and the Module activation process begins.
2. Acceptance of Terms
These Terms constitute a legally binding agreement between ItReserve and the Customer. Acceptance occurs at the earliest of: (a) clicking "Subscribe" or an equivalent button during the checkout process; (b) providing payment information and completing an order; or (c) using the Dashboard or any Module functionality. If these Terms change after your initial acceptance, we will notify you by email to the address on your account at least 14 days before the changes take effect. Continued use of the services after the change date constitutes acceptance of the revised Terms.
Customers who are consumers within the meaning of Montenegrin consumer-protection law and applicable EU legislation retain all statutory rights that cannot be excluded or limited by contract.
3. Subscription Services
3.1 What the Customer Receives
Upon successful payment and activation, ItReserve grants the Customer a non-exclusive, non-transferable, revocable right to use the subscribed Module(s) for the duration of the billing period. Each Module operates as an extension layer on top of the Customer's existing Reservit installation. The Customer retains full control of their Reservit account; ItReserve only reads or writes data within the scope explicitly granted by the Customer through the Reservit API.
Active Subscribers receive: (a) access to the Module via the Dashboard; (b) automatic updates released during the Subscription period at no additional charge; (c) access to the online knowledge base and ticketed support via support@itreserve.org; and (d) uptime monitoring and incident communications through the status page.
3.2 What ItReserve Provides
ItReserve will use commercially reasonable efforts to ensure that each Module operates substantially in accordance with its published documentation. ItReserve maintains infrastructure necessary to route API calls between the Customer's Reservit instance and the Module's processing layer, stores configuration settings securely, and provides Dashboard access.
ItReserve does not guarantee continuous, uninterrupted availability of the Reservit API, and service disruptions caused by Reservit SAS or any other third-party dependency fall outside ItReserve's responsibility. ItReserve will endeavour to notify Customers promptly of known disruptions.
4. Ordering and Payment
4.1 Placing an Order
Customers place orders through the ItReserve website. The order process involves selecting a Module, choosing a billing cycle (monthly or annual), providing an API Key, and completing payment. An order is accepted by ItReserve when payment is confirmed; ItReserve reserves the right to decline orders at its discretion.
4.2 Currency and Pricing
All prices are quoted and invoiced in Euro (EUR). Published prices are inclusive of any applicable Montenegrin taxes unless stated otherwise. ItReserve reserves the right to adjust prices with 30 days' written notice. Price changes do not affect the current billing cycle already paid.
4.3 Payment Methods
ItReserve accepts payment by bank transfer and by card payment through a secure payment link issued at checkout. Bank transfer payments must reference the order number as stated on the pro-forma invoice. Subscription renewal payments are charged automatically to the saved payment method unless the Customer cancels beforehand. For bank transfers, the Customer must ensure funds arrive before the renewal date to avoid service interruption.

4.4 Late Payment
If payment is not received by the due date, ItReserve may suspend the relevant Module(s) after a grace period of 3 days. ItReserve will send at least one reminder before suspension. Reactivation following payment of overdue amounts is subject to an administration fee of €5 per Module, waived for the first instance.
5. Module Activation
Following confirmed payment, ItReserve will activate the purchased Module within 24 hours on business days (Monday through Friday, 09:00–17:00 CET, excluding Montenegrin public holidays). If the Customer has not yet provided a valid Reservit API Key, the 24-hour clock begins only when the Key is supplied through the Dashboard. ItReserve will send a confirmation email to the registered address once activation is complete.
If ItReserve is unable to complete activation within 72 hours for reasons attributable to ItReserve (excluding failure to provide an API Key), the Customer is entitled to a full refund of the payment for that Module, as described in the Refund and Cancellation Policy.
6. Acceptable Use Policy
The Customer agrees to use the Modules and Dashboard solely for their own lawful hotel or property-management operations. The following actions are expressly prohibited:
- Reverse engineering, decompiling, disassembling, or otherwise attempting to derive the source code or algorithms of any Module;
- Reselling, sublicensing, or otherwise transferring access to any Module to a third party without ItReserve's prior written consent;
- Using the Modules to process data on behalf of third-party properties not owned or operated by the Customer, unless a multi-property enterprise plan has been agreed in writing;
- Abusing or stress-testing the Reservit API or ItReserve infrastructure in a manner that causes degraded performance for other customers;
- Uploading or introducing malicious code, scripts, or exploits into the Dashboard or any Module integration;
- Circumventing security controls, authentication mechanisms, or rate limits;
- Misrepresenting identity or affiliation when contacting support;
- Using the services for any purpose that violates applicable law, including without limitation data-protection law, competition law, or intellectual-property law.
ItReserve may immediately suspend or terminate access upon discovery of a breach of this section without liability to the Customer.
7. Data and Privacy
ItReserve processes personal data in connection with the provision of services. The Customer's personal data is processed in accordance with ItReserve's Privacy Policy, available at itreserve.org/privacy, and with the applicable Data Processing Agreement at itreserve.org/dpa.
ItReserve is subject to Regulation (EU) 2016/679 (GDPR) as implemented in Montenegrin law, the Zakon o zaštiti ličnih podataka (Law on Personal Data Protection), and the supervision of the Agencija za zaštitu ličnih podataka (AZLP), registration number 05-030/26-2438. Data subjects wishing to exercise their rights (access, rectification, erasure, portability, objection) may contact ItReserve at support@itreserve.org or write to the registered address.
8. Intellectual Property
All intellectual-property rights in the Modules, the Dashboard, documentation, branding, and associated technology are owned exclusively by ItReserve d.o.o. or its licensors. These Terms do not transfer any ownership rights to the Customer. Feedback, suggestions, and feature requests submitted by the Customer may be used by ItReserve without obligation or compensation.
The Customer retains ownership of all data originating from their Reservit account. ItReserve has a limited right to access, process, and store such data solely to the extent necessary to deliver the subscribed Modules.
9. Liability Limitations
9.1 Service Disruptions
ItReserve's services depend on the availability and stability of the Reservit API. ItReserve is not liable for losses, damages, or service interruptions caused by changes to or outages of the Reservit API, changes in Reservit's partner programme terms, or the discontinuation of any Reservit API endpoint.
9.2 Limitation of Liability
To the maximum extent permitted by applicable law, ItReserve's aggregate liability for any claims arising under or in connection with these Terms shall not exceed the total fees paid by the Customer in the three months preceding the event giving rise to the claim. ItReserve is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or data loss, even if ItReserve has been advised of the possibility of such damages.
9.3 Force Majeure
ItReserve is not liable for failure or delay in performance due to circumstances beyond its reasonable control, including natural disasters, acts of war, government actions, internet infrastructure failures, third-party platform outages (including Reservit SAS), cyberattacks, or pandemic conditions. ItReserve will notify affected Customers promptly and resume services as soon as reasonably practicable.
10. Termination
10.1 Cancellation by Customer
The Customer may cancel any Subscription at any time through the Dashboard by navigating to Active Subscriptions and selecting Cancel. Cancellation takes effect at the end of the current billing period; the Customer retains access to the Module until that date. No partial refunds are issued for the remaining days of a billing period, except as provided in the Refund and Cancellation Policy.
10.2 Termination by ItReserve
ItReserve may terminate a Subscription with immediate effect and without refund in the event of: (a) a material breach of these Terms by the Customer; (b) fraudulent payment; (c) misuse of the Reservit API in a manner that endangers ItReserve's partner status; or (d) non-payment following suspension.
ItReserve may also terminate the service entirely with 60 days' notice, in which case pro-rated refunds will be issued for any prepaid period not yet served.
10.3 Data Retention After Cancellation
Upon cancellation or termination, ItReserve will retain the Customer's account data for 90 days to permit re-subscription. After that period, personal account data is deleted in accordance with the Privacy Policy. Billing records are retained for 7 years as required by applicable accounting law. The Customer may request an export of their configuration data within the 90-day window by emailing support@itreserve.org.
11. Governing Law and Dispute Resolution
These Terms are governed by the laws of Montenegro, including the Zakon o elektronskoj trgovini (Law on Electronic Commerce) and the Zakon o zaštiti potrošača (Consumer Protection Law). Any dispute arising from or in connection with these Terms that cannot be resolved by mutual agreement within 30 days of written notice shall be submitted to the exclusive jurisdiction of the Osnovni sud u Podgorici (Basic Court in Podgorica), Montenegro.
Consumers resident in EU/EEA member states may also have access to alternative dispute-resolution procedures under applicable local law. ItReserve participates in good faith in any ADR process initiated by a consumer.
12. Miscellaneous
If any provision of these Terms is found invalid or unenforceable, it shall be modified to the minimum extent necessary to make it valid, and the remaining provisions shall continue in full force. These Terms, together with the Privacy Policy, Cookie Policy, Refund Policy, and Data Processing Agreement, constitute the entire agreement between ItReserve and the Customer with respect to the subject matter.
ItReserve's failure to enforce any provision shall not constitute a waiver. Notices to ItReserve must be sent in writing to ul. Vuka Karadžića 3, 81000 Podgorica or by email to support@itreserve.org. Notices to the Customer will be sent to the email address registered on the account.
